Terms of Service for hyperrun.ai Terminal Last Updated: Oct 6, 2025 Welcome to hyperrun.ai Terminal, a trading and AI platform developed by Gen3 Labs Pte Ltd (including all affiliates, “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our AI-integrated trading terminal, applications, and features (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services. 1. Binding Arbitration and Class Action Waiver WHEN YOU AGREE TO THESE TERMS, YOU ARE AGREEING (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE THROUGH BINDING ARBITRATION RATHER THAN IN COURT AND TO A CLASS ACTION WAIVER. PLEASE SEE SECTIONS 15 AND 16. 2. Who We Are hyperrun.ai Terminal is a non-custodial AI trading platform built on Hyperliquid, a high-performance on-chain exchange. The Terminal allows you to interact with Hyperliquid’s decentralized order book, execute spot and perpetual trades, and manage wallets and positions through an AI-driven interface. The Terminal connects directly to the Hyperliquid blockchain (HyperCore + HyperEVM) and operates fully on-chain. We do not store or control user funds. Your wallet keys are encrypted locally and never transmitted to our servers. 3. Acceptance of Terms By using our Services, you represent that: • You have read, understood, and agreed to these Terms. • You are at least 18 years old and legally capable of entering into contracts. • If using on behalf of an organization, you are authorized to bind that organization. • You will provide accurate information and safeguard your account credentials. 4. Additional Terms Certain features (such as trading bots, AI automation, or builder-code-based rewards) may include additional terms, which will be presented before activation. 5. Using Our Services hyperrun.ai provides an AI-assisted interface for interacting with Hyperliquid. You may use it to analyze markets, manage wallets, and execute transactions. AI-Powered Interface: Our generative AI may interpret your commands and prepare signed transactions. AI outputs are experimental and not guaranteed to be accurate or complete. Financial Risk: Trading on-chain involves volatility, latency, and potential loss. You are solely responsible for your actions and trades. 5.1 Non-Custodial Architecture • We do not hold private keys or access your wallet. • Wallets are encrypted locally and protected by your PIN or passkey. • We cannot recover lost keys or reverse blockchain transactions. 5.2 Trading and Execution • Trades are executed via Hyperliquid’s fully on-chain order book. • Transactions are final once submitted. • Ensure all parameters (market, side, price, size) are correct before confirming. 5.3 Builder Codes hyperrun.ai may include a registered Builder Code on Hyperliquid to receive a small protocol-allocated fee (up to 0.1%) from users who approve it. This does not increase your trading costs beyond what is stated by the protocol. 6. Third-Party Services Our Services interact with the Hyperliquid blockchain and related APIs. You agree that we are not responsible for any losses or issues arising from third-party nodes, APIs, or wallets. 7. Fees and Payment 7.1 Platform Subscription hyperrun.ai operates on a subscription basis. A monthly subscription fee grants you full access to all Terminal features, including AI tools and unlimited Hyperliquid integration. Subscription fees are billed monthly and are non-refundable unless required by law. Pricing may vary and will be disclosed before purchase. 7.2 Blockchain Fees You are responsible for network transaction fees (e.g., Hyperliquid gas fees or on-chain trade fees). These are paid directly to the network and not to us. 7.3 Taxes You are solely responsible for any applicable taxes related to your transactions or subscription. 8. User Conduct You agree not to: • Misuse AI features or attempt to automate harmful or manipulative trading behavior. • Access the platform in violation of applicable laws or sanctions. • Circumvent subscription limits or authentication. 9. Intellectual Property All rights in the hyperrun.ai Terminal, design, AI models, and branding belong to us or our licensors. You are granted a personal, non-transferable license for lawful use only. 10. Disclaimer of Warranties THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE TERMINAL WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED. 11. Limitation of Liability To the fullest extent permitted by law, our liability is limited to the greater of (a) the total subscription fees you paid in the 12 months preceding the claim or (b) USD 100. We are not liable for any indirect, incidental, or consequential damages. 12. Indemnification You agree to indemnify and hold harmless Gen3 Labs Pte Ltd from any claims or damages arising from your use of the Services or breach of these Terms. 13. Termination We may suspend or terminate access for violations of these Terms or legal requirements. You may cancel your subscription anytime; access remains until the current billing cycle ends. 14. Dispute Resolution Except where prohibited, disputes will be resolved by binding arbitration in Singapore under the Singapore International Arbitration Centre (SIAC) Rules. 15. Governing Law These Terms are governed by Singapore law. 16. Changes to These Terms We may update these Terms periodically. Continued use after such updates constitutes acceptance. 17. Entire Agreement These Terms constitute the full agreement between you and Gen3 Labs Pte Ltd regarding hyperrun.ai. 18.
